User Agreement “Exalify”

Terms and Definitions
User means an individual using the Service under this User Agreement. Service means Exalify software available at https://exalify.ru, https://exalify.ai, https://exalify.com and in the Exalify iOS and Android application. For Russian activity and services to Russian citizens, the Operator uses https://exalify.ru unless otherwise follows from the circumstances. Account means User data required for identification and access through the personal account. Service Functionality means functions, tools, task formats, limits, interfaces, settings, neural network and other capabilities. Tariff means the set of Service-use conditions established by the Operator. Training means a unit for accounting use. Neural Network means automated Service technology, including third-party technology, used to process requests, generate responses, check tasks and analyse text, voice and other materials. User Content means materials transferred, uploaded, posted, created or otherwise used by the User in the Service. Exam Designations are exam names and formats used solely to describe language practice and training formats. Contact Details are email, messenger accounts, phone number, personal account data and other electronic means of communication.
Acceptance
Acceptance means full and unconditional acceptance of this User Agreement. Acceptance includes registration, creation of an Account, giving consent through the Service, actual use of the Service and other actions showing acceptance. From acceptance, the Agreement is concluded and the User accepts it fully without reservations. By accepting, the User confirms that they have read and accepted this User Agreement, the Public Offer and the Privacy Policy. Use and acceptance are permitted for persons aged 14 or older. If the User is under 18, acceptance confirms that the Service is used with the consent of a legal representative. The Operator may restrict access where there are grounds to believe that the User is under 14, provided false age information or uses the Service without required consent.
Subject Matter
This User Agreement defines the rules for the User's use of the Service. Payment terms, Tariff selection, recurring payments, refunds, discounts, promo codes and special conditions are defined by the Public Offer. The Service provides digital tools for independent language practice, training tasks, neural network use, exam-format simulation, voice interaction and other available functions.
Access Conditions
The Operator grants the User the right to use the Service under a simple non-exclusive licence. The scope of rights is limited by the Service Functionality, interface, Public Offer, selected Tariff and this Agreement. The User may use the Service only for its functional purpose and may not reproduce, copy, modify, decompile, distribute, sell, lease, transfer, create derivative products or otherwise use the Service or its elements outside its Functionality.
Registration and Account
After registration an Account is created, providing access to the personal account and Service Functionality. The User must provide accurate and current information. Registration is carried out by methods available in the Service. The Operator may change the registration procedure, identification and verification methods, introduce additional security measures, refuse registration or restrict access if there is reasonable suspicion of false data, violation of documents, third-party rights or law. The User is responsible for confidentiality of access data. Actions performed through the Account are deemed performed by the User unless proven otherwise. The User may not transfer access or permit third parties to use the Service through the Account. The Operator may block or delete the Account for violations.
Use of the Service and Accounting of Use
The User may use the Service Functionality by methods available in the Service and not prohibited by this Agreement. The composition of functionality is determined by the selected Tariff, interface, settings and technical parameters. The Operator may limit request frequency, volume of functions, number of operations and other parameters to prevent abuse, bad-faith use, rights violations, legal violations or excessive load. The Service is not educational services, formal training, official certification, exam taking or issuance of any education, qualification or exam document. Trainings are used to account for use of parts of the Service Functionality. Service information-system data prevail unless the User proves a technical error. Unless otherwise indicated, unused Trainings and other usage indicators expire at the end of the applicable billing period.
Discounts and Special Conditions
The Operator may provide discounts, promo codes, special access conditions and other marketing offers. Their terms are determined by the Operator and displayed in the Service or communicated otherwise. Unless stated otherwise, discounts and promo codes are not cumulative, cannot be exchanged for money, transferred, refunded, restored after expiry or applied after payment. The Operator may cancel or refuse special conditions where abuse is reasonably suspected, including multiple accounts, false data, circumvention of technical limits, mass repeated promo-code use or other bad-faith behaviour.
Neural Network and Third-Party Services
Certain Service functions use neural networks and third-party services. Results are generated automatically and may contain inaccuracies, errors or incomplete information and must be checked by the User. The Operator does not guarantee that neural-network results meet the User's goals or expectations. The User is responsible for evaluating and using results. Third-party services may apply their own rules, technical limits and availability conditions.
Exam Designations
Exam and language-test names used in the Service are used only to describe the direction of language practice and training format. The Operator is not affiliated with the owners of such designations unless expressly stated. Training tasks, simulations, answers, explanations, checks and recommendations are for independent practice and are not official exams or official materials.
User Content
The User is responsible for User Content and guarantees having rights and legal grounds to transfer it to the Service. The User grants the Operator a simple non-exclusive licence to use User Content without remuneration, without territorial limitation and for the entire term of exclusive rights. The licence includes use necessary for Service operation, development, compliance checks, protection of rights, improvement, usage analysis, demonstration, advertising, informational, analytical, technical, research and other commercial or non-commercial purposes, including neural-network training where not prohibited by Russian law. The Operator may use User Content without naming the User. The User may not transfer content that violates rights, documents or law.
Restrictions and Suspension
The User may not use the Service unlawfully, disrupt its operation, bypass technical restrictions, overload infrastructure, copy or extract data beyond functionality, infringe third-party rights, upload malicious code, mislead other users, or use the Service for illegal or bad-faith purposes. The Operator may restrict, suspend or terminate access where violations or reasonable suspicion of violations exist.
Communications
The Parties may communicate by email, messenger, Service interface, phone or other contact details. Messages sent to previously used contact details before notice of change are deemed properly sent. A party using new contact details must confirm that they belong to it in a reasonably reliable manner.
Disputes
A mandatory pre-trial claim procedure applies to disputes arising from the conclusion, performance, termination, invalidity or non-conclusion of this Agreement unless mandatory Russian law provides otherwise. The response period is 15 business days from receipt. Unresolved disputes are considered by the court at the Operator's location unless mandatory law provides otherwise.
Amendments and Details
The Operator may amend this User Agreement by publishing a new version in the Service. The new version takes effect from publication unless another term is stated. Continued use of the Service after publication means acceptance of amendments. The User is responsible for regularly reviewing the current version.
