Terms and Definitions
Contractor means an individual, individual entrepreneur, legal entity or self-employed individual who has accepted the Agreement and participates in the referral programme. User means a person using the Service. Service means Exalify software available at https://exalify.ru, https://exalify.ai, https://exalify.com and in the Exalify iOS and Android application. Programme Terms mean terms of participation displayed in the Service, including reward amount, lead accounting, target action requirements, restrictions, minimum payout threshold, payment terms and other rules. Referral Link means a unique link provided to the Contractor for bringing Users to the Service and tracking Leads. Promo Code means an identifier used to track attraction of Leads and/or grant discounts. Lead means a User who had not previously paid for a Tariff before using the Contractor's link, promo code or other identifier, unless the Programme Terms provide otherwise. Verification Period means the period after Lead payment during which payment, absence of refund, disputes, chargebacks, fraud and violations are checked. Target Action means the first successful Tariff payment by a Lead after the Verification Period if not cancelled, refunded, disputed or connected with violations. Reward means the cost of Contractor services calculated under the Agreement and Programme Terms.
Acceptance
Acceptance includes receipt, copying, use or distribution of the Referral Link or Promo Code, registration in the referral programme, giving consent through the Service or other actions showing acceptance. The Agreement is concluded upon acceptance. By accepting, the Contractor confirms that they have read and accepted the Agreement, Programme Terms, Public Offer, User Agreement and Privacy Policy, and that information provided for registration, participation and payment is accurate.
Reward is paid only to individuals aged 18 or older, individual entrepreneurs, legal entities and self-employed individuals aged 18 or older, where payment is legally and technically possible. A User under 18 may use a Referral Link within Service functionality if permitted, but monetary reward may be withheld until age, capacity, representative consent and other necessary information are confirmed.
Subject Matter, Lead Accounting and Acceptance of Services
The Contractor independently provides information and marketing services to attract Users to the Service by distributing the Referral Link, Promo Code or other identifier provided by the Customer. The Customer accepts services and pays Reward under the Agreement and Programme Terms. The Contractor acts independently, in their own name and interests, and may not act on behalf of the Customer, accept obligations, receive funds from Users for the Customer, or create the impression of representative authority.
Lead accounting, Target Actions, payment amounts, refunds, disputes, Reward amounts and other relevant circumstances are determined based on Service data. Service data prevail over information from the Contractor, Lead, analytics services, screenshots, correspondence or third-party reports unless the Customer recognises a technical error. If the Service does not record the connection between a Lead and the Contractor or a Target Action, no Reward is accrued unless a technical error is recognised.
Referral Link, Promo Code and Programme Terms
A Referral Link is generated automatically upon account creation or after joining the referral programme according to Service data. A Promo Code may be provided for Lead tracking, discount granting, or both. Receipt, copying, use or distribution of the Referral Link or Promo Code means joining the referral programme under the Agreement and Programme Terms. The Contractor may not alter the Referral Link, substitute it, intercept transitions, hide the real traffic source or use the link or code unlawfully or in violation of documents or third-party rights. If a Lead uses multiple links or codes of different persons, attribution is determined by the Customer's rules. Programme Terms may differ by Contractor category, territory, traffic source, Tariff, period and other conditions and may be changed unilaterally for future actions.
Reward and Payments
The Reward amount is determined by the Programme Terms. Unless otherwise stated, Reward accrues only for the first Target Action of a Lead. Repeat payments, renewals, later payments, Tariff changes, increased Tariff value, additional purchases and other subsequent Lead actions are not counted unless the Programme Terms provide otherwise. Reward accrues only after the Verification Period and only for Target Actions corresponding to the Agreement, Programme Terms and Service data. Reward does not accrue if payment is cancelled, refunded, disputed, charged back, made with violations or otherwise does not meet the rules. If a later refund, dispute, chargeback, invalidity or violation is identified, the Customer may recalculate, reduce, offset or demand return of previously paid Reward.
Reward is paid only after the minimum payout threshold is reached. Unless otherwise stated, payment is made within 10 business days after the relevant settlement period ends, the Verification Period expires, the minimum threshold is reached, all documents, tax data, receipts and payment details are provided, and no grounds for refusal, suspension, recalculation or withholding exist. Payment is made by non-cash transfer or another allowed method. The Contractor bears the risk of incorrect or incomplete payment details.
Taxes and Compliance
The cost of Contractor services includes all taxes, levies, insurance contributions and other mandatory payments payable by the Contractor unless otherwise required by law or Programme Terms. The Contractor must maintain the required tax status, provide necessary documents, issue receipts where applicable, and comply with currency, tax, banking, sanctions, payment and compliance restrictions. The Customer may refuse or suspend payment if payment is impossible due to legal or compliance restrictions or missing documents.
Contractor Restrictions
The Contractor must not use spam, misleading advertising, unlawful traffic, bots, fraud, incentivised traffic not allowed by Programme Terms, prohibited materials, third-party rights violations, brand misuse, false statements about the Service, or any methods that harm the Customer or Users. The Contractor must not guarantee results not promised by the Customer, collect money from Users on the Customer's behalf, or make statements that create liability for the Customer.
Changes, Termination and Liability
The Customer may change, replace, restrict, block or terminate the Referral Link, Promo Code, Programme Terms or the referral programme in case of violation, suspected violation, technical error, programme change, termination or other grounds under the Agreement. The Parties are liable under Russian law. The Customer is not liable for lost profit, failure to record Leads caused by the Contractor's actions, technical restrictions, browser settings, ad blockers, third-party services, incorrect use of links or other circumstances outside the Customer's control.
Disputes and Details
A mandatory pre-trial claim procedure applies unless mandatory law provides otherwise. Unresolved disputes are considered by the court at the Customer's location. The Customer may amend this Offer by publishing a new version in the Service or otherwise notifying the Contractor.
